Confidentiality Agreement is a contract that ensures that the information and document that is clearly stated to be confidential regarding the project or shared business subject between the parties is not disclosed to any third party unless the relevant person’s consent is obtained. With this agreement, the limits and conditions of confidentiality can be determined.
With this contract, the parties are protected from stealing projects and ideas, as well as learning and expressing opinions on a project that has not yet been completed and is being worked on by third parties.
How to Use This Document?
This document gives the parties control over ideas and projects shared with another person or company. This contract, which is used for the protection of trade secrets, contains provisions such as the purpose of the information exchange, how long the information will be kept confidential, the information can be transmitted to third parties only within the permitted scope, and this information will be returned or destroyed if requested by one of the parties.
The party who violates this contract or does not try to protect it will be punished with compensation. For this reason, the penal clause is an indispensable part of a confidentiality agreement. It is also important for the operability of the contract that the penal clause amount is deterrent and is higher than the possible income that the other party can obtain by violating confidentiality.
Once this contract sample is complete, it must be printed out and signed by both parties. Both parties should keep a copy of the contract.
Legal Basis
In the laws in Turkey, there is no law article that regulates the Confidentiality Agreement. General contractual provisions of the Turkish Code of Obligations, Labor Law and Commercial Code provisions can be applied to the Confidentiality Agreement.
